W2 vs C2C in plain English

You don't need to know the jargon to use STEM OPT Jobs — but here's what each engagement type means.

W2
W2 — you'll use this on OPT, STEM OPT, H-1B
  • The staffing agency puts you on their payroll.
  • They withhold federal + state tax, Social Security, and Medicare.
  • You get a W-2 form in January.
  • You may get benefits, PTO, 401(k), health insurance.
  • Hourly rate is typically 70–80% of the agency's bill rate.
C2C
Corp-to-Corp — for GC EAD, GC, or USC with an LLC/S-Corp
  • Your corp invoices the staffing agency.
  • You pay your own taxes, insurance, and benefits.
  • Higher hourly rate — usually 85–90% of the bill rate.
  • You need an EIN, business bank account, and ideally a CPA.
1099
1099 — independent contractor
  • No corp involved. Agency issues 1099-NEC in January.
  • You owe self-employment tax (~15.3%) on top of income tax.
  • Less common in IT staffing — but covered when listed.
FT
Full-time / direct hire
  • You become a permanent W2 employee of the end client, not the agency.

Which engagement types can you legally do?

On OPT, STEM OPT, or H-1B you can't legally invoice as a corp — so C2C is off the table. The agents enforce this so you don't waste submissions.

Aim for 6–12 specific titles — e.g. AI Engineer · ML Engineer · GenAI Engineer · MLOps Engineer · Applied Scientist · LLM Engineer · AWS ML · Lead AI. Avoid broad terms like "Engineer" or "Developer" that pull in QA, embedded, and network roles.

Common mistakes to avoid

  • Mismatched visa status

    Resume says "OPT" but your STEM OPT Jobs profile says "USC" — recruiters find out and you lose trust.

  • Stale resume

    Agents submit whatever you uploaded. Update it the day a project ends.

  • Too-broad keywords

    "Engineer" matches everything — you get spam calls for QA, embedded, network, and DevOps roles you don't want.

  • No US phone number
